本學期（112-1）課程主題在於「碳治理」與「貪治理」，在市場與法律之間討論環境正義與經濟正義，兩者的交集處是當前國際間熱烈討論的「環境、社會、治理」（Environmental, Social, Governance；簡稱ESG）。因此，具體的命題討論將會是：「誠信治理在市場上值多少錢？」、「環境清淨在市場上如何訂出售價？」，而它們在法律的規範下，「一公克碳排放、一份誠信的獎懲代價各是多少？」
在過去20多年來，我們看到全球企業逐步擴大並且強化對誠信經營的要求，而臺灣企業有明顯的進步。在「聯合國反貪腐公約」中，要求締約國應將經濟、金融或商業活動中，有關私部門的賄賂定為犯罪，台灣在 2015 年 5 月立法通過「聯合國反貪腐公約施行法」，將該公約內化成具有國內法的效力，但對於企業貪腐行為，目前並無專責的法律規範。未來立法不能忽略企業貪腐的特性，應該重新思考，並參照美國「海外反腐敗法（FCPA）」、英國「新賄賂法（Bribery Act 2010）」等外國立法例，才能有效規範層出不窮的企業貪腐行為。實務上，「貪治理」在市場與法律之間必須分析主題包括：
一、貪腐企業：企業貪腐之可罰性與必要性
二、現行法制：台灣現行防制企業貪腐之法制
三、外國法例：參照外國立法例
四、獎勵誠信：ESG目標下台灣企業誠信經營的回應
目前台灣關於ESG「碳治理」的法治建設仍停留在「以行政管制為主」的階段，存在著：(1)碳中和基本概念和適用範圍界定不清、(2)應對氣候變化立法碎片化、(3)碳排放管理制度法律缺位、(4)碳排放行政執法體制缺乏統一協調機制、(5)立法緩慢導致政策實施缺乏法律支撐等問題。實務上，「碳治理」在市場與法律之間必須分析主題包括：
一、控排企業：ESG背景下面臨法律風險及應對措施初探
二、現況檢視：台灣現行能源法律制度與實現ESG目標的差距
三、比較借鑒：國外低碳能源法律制度經驗
四、創新路徑：ESG目標下台灣低碳能源法律制度回應
最後，以上「碳治理」與「貪治理」兩個面向交錯之下，可能引發兩個效應：(1)市場趨勢變好或變壞？(2)如何有效對治？台灣中小企業的佔比高達企業的97%，也比照大型企業扛起ESG目標下的責任與義務，能夠符合法規要求，繼續承接海外市場的下單嗎？另外，碳權的轉移是否最終淪為買賣的操作，或者質變成賄賂、詐欺、脫法行為的因應？這些是ESG理想的初衷嗎？本課程鼓勵同學們進行討論、辯證與書寫，擇優獎勵創新構想。

課程目標 Objectives

The subject provides a strong overview of the global marketplace in which governments interact with international corporations, and the seminars present up-to-date analysis of recent changes in governmental regulation of business. Especially for the topics of Environmental, Social, Governance, (ESG) and their law and regulation.
本課程內容主要係以社會中之法律的脈絡（the context of law）為題材，針對今日市場經濟體系中，關於「國家、市場、企業與消費大眾」四個角色對象的互動下，就國際間的經濟管制和法律走向，諸如「環境、社會、治理」（ESG）各項立法，及相關的法規、政府管制措施、…等等的形成、演變與適用，進行實踐的經濟和法律（economic and legal）互動之檢討。近代市場擴張影響所及，當代國際社會面對的資本流動、結構變化、貧富差距、貿易衝突、…等「發展」（development）或「現代化」（modernization）問題，也將以討論的方式，加以分析提醒。
本課程透過各週對「企業誠信治理」與「環境正義治理」逐項議題討論，希冀修課同學能：
1.洞察基礎概念：理解課程介紹之理論的基礎概念，並能加以應用「商務決策」；同時對現象面有更深入的剖析能力。
2.增進個案研究：透過「個案研究」對實例的研讀，體認「決策管理的市場與法律之雙重基礎」，促進同學個案剖析與寫作能力。
3.鍛鍊決策管理：經由時代演變，針對「決策管理」過程，對於市場與法律糾結之研究問題的發想、研究方法的設計。
