課程大綱 Course syllabus

This course will analyze the major regulatory areas relating to multinational enterprises (MNEs) and covers the main economic law issues relating to jurisdiction, entry and establishment controls and liberalization, tax, company law, competition and technology transfer. Also, the course deals with the increasingly prominent demands for corporate social responsibility covering labor, rights, human rights and the environment, and the recent developments in arbitral decisions that give increased importance to the protection standards contained in international investment protection agreements.
Specifically, in Spring of 2023 the course shows you how to:
1. attract the best employees,
2. develop successful products,
3. create new business models,
4. protect intellectual property,
5. create contracts that achieve business goals, and
6. use dispute resolution processes that improve business relationships.
Using a global perspective, the course also provides an introduction to international business culture for learners from the Taiwan, and an introduction to the Taiwanese business culture for learners from outside the country.
* 請選修同學留意:本(111-2)學期,此一課程的核心與案例研究,將簡化至競爭優勢(competitive advantages)在法人資本主義(the corporate capitalism)中的管理機制與法律技術的瞭解。
本課程分三階段7個單元:第一階段除探討「競爭優勢與商業契約擬定」的關鍵(單元1)等介紹外,並運用較為常見的8件個案研究,大略分為2類的商務交易做為討論練習,包括「合作商業模式」(單元2)、「委辦商業模式」(單元3),與實務個案介紹。第二階段為「回顧競爭優勢的綜合檢驗」,由教師與同學們逐案分析這些8件交易個案中,所衍生訂約過程,及決策管理者如何解決各項爭議與提供讓相關各方可接受的議案(單元4),並將所擬定的契約,經由其法律性質,進行法律設計的思考。之後進入第三階段為學生實做,再將前述心得轉化成契約所草擬的策略內容,學習攻防演練,和進行適合演練的個案研究診斷(單元5『租賃商業模式』、單元6『併購商業模式』與單元7『風險專案商業模式』)。

課程目標 Objectives

         This course tends to provide a comprehensive contemporary and interdisciplinary account of the various techniques used to regulate multinational enterprises (MNEs) at the national, regional and multilateral levels. This analysis of how multi-level networked governance has superseded the liberal system of interdependent states focuses on the role of law in mediating power and shows how lawyers have shaped the main features of capitalism, especially multinational enterprises (MNEs).
* 本課程旨在提供學習者對於全球化時代裡國際資本運動的現象和主角,尤其是商務組織結構(structure of business organization)所展現的法人資本主義(the corporate capitalism)的管理機制與技術的瞭解,這些瞭解是經由市場的、國家的與社會的層次分析。而在111學年第2學期的課程,前述的分析是藉由近8年(2015-23)新興商務的重要企業案例進行剖析。
(*請選修同學留意:本學期此一課程為「競爭優勢(competitive advantages)的綜合具體設計」與「商務實作課程」;課程核心與案例研究著重在分析企業的競爭優勢與法律功能,如何運用在近期的「交易談判與契約設計」(negotiation of trade and the contract design)的過程。 )
