This subject provides students who take in Business Law develop a robust understanding of the legal and ethical impact of business practices and the global economy. Thus, students will learn about contracts, commercial transactions, forms of business entities, and other legal issues. Nonetheless, students also learn how business entities are governed and managed and the rights and obligations of the entities’ stakeholders. Most importantly, Business Law participants are presented with a focus on ethical decision making and socially responsible behavior. Therefore, the major topics include: 1/ introduction; 2/ Review of Taiwanese Legal System, and introduction to Taiwanese business law; 3/ commercial transactions and business contracting; 4/ business organizations and company law; 5/ business and protection of consumers; 6/ labor relation and laws; 7/ laws of intellectual properties; and 8/ settlement of business disputes, and other legal issues. 本學期(2022春季)課程以分析台灣的(以開學後中文授課大綱為教材)商務管理與法律基礎為主: A. 緒論 1. 如何學習商事法? 2. 閱讀六法全書必備的基礎知識 3. 學習商事法必備的基礎知識 B. 本論 1. 管理決策與法律體系 2. 契約法 3. 企業組織與公司法 4. 企業與消費者保護 5. 勞資關係與法制 6. 智慧財產與法制 7. 商務爭議解決方式 C. 個案討論(以實際上課人數與效果,隨堂調整) D. 商事法的發展趨勢 * 課程大綱與進度仍以上課討論與隨堂講義公告為準!
課程目標 Objectives
A participant in Business Law will add value to a career as almost all areas of business - from employment practices to product and service promotion to accounting and reporting compliance - have a myriad set of legal issues. On the personal side, most people will sign an agreement of sale for real estate, sign a mortgage agreement, sign numerous other contracts, plan an estate and much more. An understanding of business law will be of real value for years to come. 本課程試圖使學習者討論以下議題與可能答案: 1. 在全球法人資本主義下,學習商事法的意義為何? 2. 現行商事法的結構符合市場商務實用嗎? 3. 在經濟與社會意義下,如何有效運用商事法律的資源? 4. 如何分析「個案」?

Internship: The required or elective courses should include credits and learning hours. Students should participate in the corporative company or institution to practice and learn the real skills.
