This course explores the legal and ethical aspects of an organization’s composition and operation. The design of this course is to help students understand accountability, control of an organization’s palliative mechanism, and reporting system.
公司作為一個經濟與倫理的實體,有其使命,本課程探討公司的組成與營運所牽涉到的法律與倫理層面,瞭解其演變過程。本課程的設計,在於使學生深刻瞭解,經理人身為受信託者與績效監督者的角色,有其無可推卸的法律與倫理責任,基於此認識,必須充分明瞭公司治標機制的問責、掌控以及報告系統。在公司治理方面,強調董事會的運作,可以同時創造企業價值,又保護到小股東,並兼顧所有利害關係人的利益。

課程目標 Objectives

         This course helps students to understand and analyze various ethical issues, social responsibilities, and daily decision-making of corporate leaders. Some common corporate leaders’responsibilities including economy, legal and ethics. Analysis tools will also be introduced in this course.
本課程讓修課學生瞭解與分析企業領導者所面對的各種倫理議題,並知道如何善盡其社會責任,落實到其日常的決策過程之中。企業領導者所負擔的責任雖然隨情境而異,但大致可分為三個範疇:經濟、法律、與倫理,常須一併考慮而使問題複雜化,必須發揮企業家精神,本課程旨在介紹一些適宜的思考與分析工具,使決策者在模糊的、高度壓力以及快速變遷的情況下,能確保企業的長遠利益,並能善盡企業社會責任
