課程大綱 Course syllabus |
|
1. Define the legal environment that is applicable to the business world; 2. Review basic civil law concepts; 3. Describe the legal system (and the litigation system) in Taiwan; 4. Analyze what a contract is, how a contract is formed, the types of law that govern contracts, the elements of civil-law contract formation, and defenses to contracts; 5. Apply legal concepts to business scenarios; 6. Define the ethical environment that is applicable to the business world, including Utilitarianism, Virture Ethics, and Deontology and etc.; 7. Identify means to avoid alter ego liability; 8. Evaluate the current controversial cases. 法學院的觀點不拘束本課程的思維、教育與學習。本課程按照英美大學的商管學院課程編列,對於管理人才需具備的商務法律教材進行書寫,由基礎法學緒論開始,沿著契約、企業組織、消費保護、勞資關係、智慧財產等面向逐一介紹,最後以商務爭議解決方式做為歸納學習的關鍵,呈現目前國內外市場所需要的基礎商務法律教育和訓練的7項必備教材。其次,本課程主旨強調必須是以商務管理基礎為中心的,在商言商符合直接的需求,因此過往以法學院或是社會科學院等課程設計為主的架構,必須向商務實踐調整方向。由於這些思考,因此消費保護、勞資關係與智慧財產等面向必須納入基礎教材的範圍,並對比於領導、決策與倫理的各個層面進行檢驗。 (*課程如因疫情政策需要改為線上授課(distance learning),將以 Email寄發網路連結與說明至「同學留在校方網路大學的電子信箱」。請同學務必開取信箱連結。)

|
This course is an overview of the complex legal and ethical issues that confront business. It is designed to introduce issues via specific legal cases, and provide balanced, in-depth coverage of controversial and timely topics in the areas of law and ethics within the business environment. Thus, several important ethics issues, including Utilitarianism, Virture Ethics, and Deontology and etc., will be examined under both social and business context. Also, this course tries to blend theory with real-life applications, and encourage lively classroom debate on everything from privacy and workers' rights to diversity and stereotyping, rather than shying away from controversial topics. 本課程目標立足於管理學院學生經常提出的幾項實際問題,包括:商務管理基礎為何需要法律的教育?基礎法律有哪些部分是商務管理所不可或缺的?過往結構化的民商法律課程對於管理學院學生,為何如此陌生、艱澀並且難以融入商務管理基礎的培訓系統中?諸如此類的每每提問有其實際上的需求,也說明商務管理基礎層面對於法學、倫理教育與決策管理的相互依賴,以及對於適當教材的期待。
