課程大綱 Course syllabus

Indeed, successful decision making is based on three key pillars: strategy, law and ethics. After taking this course the students will be able to use a practical framework based on these three elements to make successful business, personal and leadership decisions. The course then shows how the three elements can be used to prevent a tragedy when making a personal decision. The rest of the course focuses on making successful business decisions. In essence, to achieve business and career success, the students must create value (strategy) and manage risk (law) in a responsible manner (ethics).
Because the law pillar plays a central role in the three pillar model, the course includes practical legal briefings (with many examples) on the key elements of business success. Specifically, the course shows you how to:
(1) What are the laws of starting a business?
1) Create a business structure; 2) Choose and register a business name; 3) Obtain licenses and permits; 4) Prepare to pay taxes/ Get a Tax Code Number; 5) Create a compliance plan; 6) Get Business Insurance
(2) What are regulations and laws applying to our business?
1) Employment laws; 2) Consumer laws; 3) Intellectual property laws.
(3) What are the laws for new business models?
1) Introduction; 2) Business Models; 3) Regulation; 4) Operational Efficiency; 5) Summary.
Using a global perspective, the course also provides an introduction to international business culture for learners from the Taiwan, and an introduction to the Taiwanese business culture for learners from outside the country.
新興商業是創新陶醉?或可能是經濟犯罪?還是投資的最佳機會?做為管理人才,我們可以透過自己製作的1支影片介紹1項新興的新型商業嗎?本課程藉由同學組成研究小組,並由各組製作1支「手機影片」播放,其中將檢視晚近正在崛起和發展中的商業,以及它們所帶來的法律和管理的雙重挑戰。課程特別著重於『主題影片』(介紹創新的新興商業)的製作,對於商業模式創新的性質和程度,所賦予影響的背後動力,以及在創新和創業建立的組織中,管理層面可有的各類選擇。
因此,在2022今年的課程裡,我們將探討商業模式創新的內在和外在的來源,同時評估將這些創新在資本商品化過程的策略和步驟。課程針對企業與個人在所需要的基本的學習訓練,包括以下各項內容:(1)商業模式創新的競爭優勢分析;(2)商業模式創新之法律設計策略的形成;(3)商業模式創新之法律設計策略的實踐;(4)研究專題和回顧。
(關於研究專題在2022年度,『主題影片』的方向建議:『在創新的商業模式中,對於法律設計的運用』主題,諸如關於共享經濟之中,運用物聯網的相關法律設計主題。)
上課同學必須組成團隊,選擇一項主題專題(自主決定以中文或英文完成專案),經教師討論核准後完成研究。

課程目標 Objectives

         This course offers an in-depth discussion in business administration and strategic management, especially in a multicultural, cross-boarder context, from three dimensions: (1) What are the laws of starting a business? (2) What are regulations and laws applying to our business? and, (3) What are the laws for new business models? (本課程旨在提供學生學習三個層面:1.創業需要經由哪些法律?2.現有商業適用哪些法律?3.新的商業模式可能影響或帶來哪些新法律?並且,藉由透過自己小組製作的1支手機影片介紹1項新興的新型商業,完成前述學習的目標。)
