課程大綱 Course syllabus

This course, based on framework of the Civil Code in Taiwan, explores the role of the legal systems in creating and sustaining a climate that facilitates entrepreneurial activity and the role of counsel in helping to launch, grow and protect new businesses. Then, the content of this course includes:
I. Law of Taiwan (R.O.C.)
II. Concept of law as incorporated in the major legal systems.
III. The Civil Code is the basic law for most private relations between persons. It is divided into five parts: Part I: General Principles; Part II: Debts; (the aforementioned parts for the 1st Semester) Part III: Property; Part IV: Family; Part V: Succession.
IV. Approaches to managing the legal function and maximizing its utility in the business.
V. Case-studies on the recent business development.
(No prior legal training is assumed. Class discussion will be based on both business school cases and other materials including excerpts from judicial opinions, statutes, news reports and analysis, and actual deal documentation.)
本課程學習企業立足的民商法體系，以及其在市場經濟中交易之安全的環境分析。課程針對企業與個人在「決策管理的法律基礎」所需要的基本的學習訓練，包括以下各項：
1. 我國的法律制度
2. 法律的概念與主要結構
3. 民法體系（1）總則（2）債篇總論（3）債篇各論 [＊以上為第一學期課程部分]
4. 民法體系（4）物權（5）親屬（6）繼承
5. 財經發展、企業管理與法律運用
6. 重要個案研究【＊課程實際進度仍以課堂討論、教材理解與互動協調為主。】

課程目標 Objectives

The course has three objectives:
First, explore the Taiwan’s legal environment, develop an approach to managing and maximizing the value of the corporate legal function, and analyze the dynamic nature of law.
Second, develop literacy in The Civil Code, the basic law for most private relations between persons. (This Code is divided into five parts: Part I: General Principles; Part II: Debts; Part III: Property; Part IV: Family; Part V: Succession)
Third, consider what’s customary and fair in various transactions and the communications' challenges of translating legal advice and analysis into decision-ready advice managers can use.
課程目標有三個層次：
（一）針對管理學院學習企業管理的同學啟發法律的基礎觀念和運用途徑，並理解市場機制中的民商法體系；
（二）對於當前企業管理涉及法律的議題，尤其「決策管理的法律基礎」，進行講解、分析和討論；
（三）配合商管「必修課程」訓練，以「個案研究」、「法務實況」、「司法裁判」和「法律寫作」的教學模式，藉以提昇同學的實務研究能力。
