課程大綱 Course syllabus

This subject provides students who take in “International Economic Law–Business & Policy” develop a robust understanding of the legal and ethical impact of business practices and the global economy. Thus, students will learn about contracts, commercial transactions, forms of business entities, and other legal issues. Nonetheless, students also learn how business entities are governed and managed and the rights and obligations of the entities’ stakeholders. Most importantly, “International Economic Law–Business & Policy” participants are presented with a focus on ethical decision making and socially responsible behavior. Therefore, the major topics include:
1/ introduction;
2/ contracts;
3/ commercial transactions, and digital law and E-commerce;
4/ forms of business entities, and setting-up for new business in Taiwan;
5/ law of corporate governance;
6/ ethics and law in decision-making; and
7/ settlement of business disputes, and other legal issues.
本課程內容「並非學習法律或法律條文」,而是針對現代法的商品化環境,以及法律在企業決策管理中的角色與功能進行研討。
自2015年新的國際併購浪潮又興起,而企業在新的科技創新和競爭下,面臨不斷的挑戰,經營的戰略與手法不斷更新。
今日,每一個「決策管理」過程,企業管理者都面對了市場與法律的糾結;尤其在行銷與通路、人力資源,甚至是策略管理的實務上!但是,另一方面,市場的風險也大量提高,而「黑心企業」永遠存在嗎?暗黑勢力永遠蠢動在資本與國家的結合過程嗎?例如,企業數位電子化先裁減員工嗎?法律真能電子商務中的保護消費者與勞工嗎?
其次,關於法律與市場的脈絡分析,本學期課程的主軸以「電子商務和契約」和「電子商務糾紛的解決與出路」兩套法律決策與實例為主題,而歷史發展的命題依序為:

C. 個案討論(以實際上課人數與效果,隨堂調整)*
D. 商事法的發展趨勢
* 課程大綱與進度仍以上課討論與隨堂講義公告為準,學生報告與作業以commercial transactions, and digital law and E-commerce為主要範圍!
(關於研究專題在2020年度,有以下的方向建議:『在電子商務(E-commerce/On-line commerce)的商業模式中,對於法律的攻防運用主題』,諸如(a) 新創企業;(b) 線上會議和決議;(c)公司治理及其風險; (d)建立智慧家園及其風險;(e)臉部辨識的運用及其風險;(f)可穿戴式器材的運用及其風險;(g)餐飲運送服務的應用及其風險;以及(h)其他關於共享經濟之中,運用物聯網(the Internet of Things (IoT))及其法律攻防的相關主題。)
上課同學必須組成團隊,選擇以上一項主題專題,『經教師核准後』完成研究。

課程目標 Objectives

         A participant in “International Economic Law–Business & Policy” will add value to a career as almost all areas of business - from employment practices to product and service promotion to accounting and reporting compliance - have a myriad set of legal issues. On the personal side, most people will sign an agreement of sale for real estate, sign a mortgage agreement, sign numerous other contracts, plan an estate and much more. An understanding of business law will be of real value for years to come.
本課程試圖使學習者討論以下議題與可能答案:
1. 在全球法人資本主義下,學習商事法的意義為何?
2. 現行商事法的結構符合市場商務實用嗎?
3. 在經濟與社會意義下,如何有效運用商事法律的資源?
4. 如何分析「個案」?(本課程之個案分析,除各主題個案之外,以commercial transactions, and digital law and E-commerce為主!)
